GetOutGarage Advertising Terms

1. Scope

These Advertising Terms apply to all advertising, sponsorship, promoted placement, house-ad replacement, and related commercial placements purchased or submitted through GetOutGarage. GetOutGarage is operated by Defined Ventures, Inc. ("GoG," "we," "us," or "our"). These terms supplement the GetOutGarage Terms of Service and Privacy Policy. If these Advertising Terms conflict with the general Terms of Service for an advertising matter, these Advertising Terms control for that matter.

2. Advertiser Responsibility

You are responsible for your ad, creative assets, destination URL, business claims, offers, pricing, disclosures, product availability, legal compliance, and any customer relationship created after a user clicks your ad. You must have authority to advertise for the business, brand, event, product, or service submitted.

3. Creative Approval Required

All ads and creative assets require GoG approval before serving. Approval of one campaign, creative, business, or destination does not guarantee approval of future submissions. GoG may review ads manually, automatically, or both, before or after an ad begins serving.

4. Rejection, Pausing, and Removal

GoG may reject, request changes to, pause, remove, limit, or end any ad at any time if we believe the ad violates these terms, the Advertising Policy, applicable law, user trust, marketplace quality, platform safety, or GoG business interests. We may also reject ads for reasons not listed in the policy when necessary to protect users, advertisers, partners, or the service.

5. Inventory and Timing Estimates

Inventory, audience, market, placement, performance, and completion-time estimates are estimates only. A CPM campaign's checkout states its purchased minimum of qualified browser viewable impressions; GoG will continue eligible delivery until that minimum is completed unless the campaign is canceled, refunded, disputed, paused for policy or payment reasons, or otherwise ended under these terms. No particular completion date, reach, unique-user count, click volume, lead volume, or business result is guaranteed.

6. Delivery and Reporting

GoG may track ad slot requests, rendered ads, viewable ads, qualified billable views, rejected or non-billable events, clicks, house ads, paid ads, placement keys, surface keys, route types, market keys, campaign IDs, creative IDs, anonymous visitor IDs, session IDs, logged-in user IDs where available, timestamps, and related operational data. A qualified browser viewable impression requires a valid server-issued delivery, at least 50 percent visibility for one continuous second while the page is visible, replay protection, and applicable frequency limits. It is not a claim that a browser identifier is a verified unique human.

7. Payment and Billing

Payment terms, scope, CPM, budget, purchased impression minimum, and included placements will be shown during checkout, insertion order, invoice, or campaign submission. CPM, budget, and purchased minimum become locked when payment is verified. Unless we agree otherwise in writing, GoG will delay campaign launch until creative approval and payment receipt or an authorized billing waiver are complete.

8. Refund Rules

  • If GoG rejects an ad before it serves and you do not submit an approved replacement, we may refund prepaid amounts for the unserved campaign.
  • If you cancel before launch, any refund is limited to the unserved portion, less non-refundable setup, processing, creative, review, or payment fees disclosed during purchase.
  • If GoG pauses or ends a campaign for policy violations, illegal content, rights issues, fraud, misleading claims, unsafe destinations, chargebacks, or advertiser misconduct, prepaid amounts are not refundable except where required by law.
  • If GoG materially fails to deliver a paid campaign due to a GoG-controlled technical issue, our sole obligation is, at our choice, makegood delivery, account credit, or refund of the affected undelivered portion.
  • Performance dissatisfaction, lower-than-estimated impressions, clicks, leads, sales, event attendance, conversions, or return on ad spend does not create a refund right.
  • Third-party processor fees, chargeback fees, taxes, and bank fees may be non-refundable.

9. Rights to Uploaded Creative

You represent and warrant that you own or have all rights, licenses, permissions, and releases needed for the creative assets, logos, trademarks, photos, videos, text, claims, product images, people, vehicles, locations, and other materials you submit. You grant GoG a worldwide, non-exclusive, royalty-free license to host, store, reproduce, crop, resize, transcode, display, distribute, test, measure, promote, and otherwise use submitted materials to review, operate, serve, report on, and promote your advertising campaign and GoG's advertising products.

10. Destination URLs

Your destination URL must be functional, safe, relevant to the ad, accurate, and easy for users to navigate. It must not use malware, forced downloads, phishing, cloaking, deceptive redirects, broken pages, under-construction pages, excessive popups, disabled browser navigation, fake system prompts, or content that materially differs from the ad. GoG may reject or pause ads if the destination changes after approval.

11. Policy Compliance

You must comply with the GoG Advertising Policy, all applicable laws and regulations, industry rules, product safety rules, endorsement and disclosure rules, intellectual property laws, privacy laws, and platform requirements. See the Advertising Policy for content and creative standards.

12. No GoG Endorsement

Ad approval, serving, placement, or reporting does not mean GoG endorses, certifies, verifies, sponsors, warrants, or recommends the advertiser, product, event, service, claim, destination, fitment, safety, legality, quality, price, or availability.

13. Indemnification

You will defend, indemnify, and hold harmless GoG and its affiliates, officers, directors, employees, contractors, agents, and partners from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your ads, creative assets, destination URLs, products, services, events, offers, claims, rights violations, legal violations, payment disputes, or breach of these Advertising Terms.

14. Limitation of Liability

To the maximum extent permitted by law, GoG will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, lost-data, lost-goodwill, or business-interruption damages arising from advertising. GoG's total liability for advertising claims will not exceed the amount you paid to GoG for the specific campaign giving rise to the claim.

15. Changes

GoG may update these Advertising Terms. Material changes will apply prospectively unless immediate changes are needed for legal, safety, fraud, platform, or operational reasons. Continued submission or purchase of advertising after changes take effect means you accept the updated terms.
